Dentist Advertiser Agreement

This Dentist Advertiser Agreement ("Agreement") is entered into between the dental practice ("Advertiser," "Practice," "You") and the Dental Directory ("Directory," "Platform"). By purchasing advertising services, You agree to the terms outlined below.

1. Services Provided

The Directory will provide paid advertising placements including Featured Listings, Homepage Spotlights, City-Level Banners, Specialty Category Banners, and Full Metro Takeovers. These placements are designed to increase visibility and attract new patients within the OKC metro.

2. Advertiser Responsibilities

The Advertiser agrees to:

  • Provide accurate and up-to-date practice information.
  • Supply photos, promotional content, and service details as needed.
  • Maintain compliance with all dental advertising regulations and state board requirements.
  • Ensure that all submitted content is lawful, truthful, and non-misleading.

3. Directory Responsibilities

The Directory agrees to:

  • Display purchased advertising placements according to the selected plan.
  • Maintain reasonable uptime and accessibility of the platform.
  • Review advertiser content for accuracy and compliance.
  • Remove or edit content that violates guidelines or harms platform integrity.

4. Payment Terms

Advertiser agrees to pay all fees associated with selected advertising plans. Monthly plans renew automatically unless canceled. Annual plans renew automatically unless written cancellation is provided at least 30 days prior to renewal. No prorated refunds are issued for partial months.

5. Term and Termination

This Agreement remains in effect as long as the Advertiser maintains an active advertising plan. The Directory may terminate this Agreement if:

  • Advertiser violates any terms.
  • Advertiser submits false or misleading information.
  • Advertiser engages in conduct harmful to the platform or its users.

Advertiser may terminate at any time, with cancellation effective at the end of the current billing cycle.

6. Compliance and Legal Requirements

Advertiser is solely responsible for compliance with:

  • State dental board advertising regulations
  • HIPAA guidelines
  • Federal and state marketing laws

The Directory does not verify legal compliance and is not liable for violations committed by the Advertiser.

7. No Guarantee of Results

The Directory does not guarantee specific patient volume, appointment bookings, or revenue outcomes. Advertising performance varies based on competition, market conditions, and user behavior.

8. Limitation of Liability

The Directory's total liability for any claim arising under this Agreement shall not exceed the amount paid by the Advertiser in the previous 90 days. The Directory is not liable for indirect, incidental, or consequential damages.

9. Intellectual Property

Advertiser grants the Directory permission to display logos, photos, and promotional content provided by the Advertiser. Advertiser affirms they have rights to all submitted materials.

10. Modifications

The Directory may update this Agreement at any time. Continued use of advertising services constitutes acceptance of updated terms.

11. Governing Law

This Agreement is governed by the laws of the State of Oklahoma.
